THE BOTTOM LINE
Practices with complete equipment documentation close deals faster, with fewer price adjustments, and with higher final prices on the equipment component. Preparation takes one afternoon. The impact is measured in tens of thousands of dollars.
What DSOs Ask About Equipment (And Why)
A DSO's due diligence process is designed to answer one core question: what will this acquisition actually cost us to operate at our standards? Equipment is a major part of that answer. Here's what every serious DSO buyer will investigate:
The Complete Equipment Documentation Checklist
Category 1: Inventory Completeness
- Complete list of all equipment by operatory: chair, delivery system, light, X-ray unit
- Sterilization room: autoclave make, model, year, maintenance records
- Imaging suite: panoramic, CBCT, sensor brand and generation
- Lab equipment: if applicable
- Common area: compressor, vacuum system, amalgam separator
- Serial numbers for all assets over $500 replacement value
Category 2: Age and Condition
- Purchase year for each major asset (invoice or estimate)
- Current functional condition: Mint / Excellent / Good / Fair
- Known issues or deferred maintenance items
- Repair history for assets over 7 years old
- Upholstery condition and age for all chairs
Category 3: Valuation Data
- Fair Market Value (FMV) for each asset
- Total fleet FMV
- Replacement Cost (new) for each asset
- Total fleet replacement cost
- Orderly Liquidation Value (OLV) — required by some lenders
Category 4: Compliance Documentation
- Autoclave spore testing records (minimum 12 months)
- X-ray equipment inspection certifications
- Compressor maintenance log
- Amalgam separator service documentation
- Any OSHA-relevant equipment compliance certificates
Category 5: Technology Assessment
- Digital vs. analog X-ray systems
- CBCT capability (yes/no, model, year)
- Intraoral camera systems
- CAD/CAM capability (yes/no, model)
- Practice management software — relevant for equipment integration
- Internet connectivity infrastructure
The Questions Buyers Will Ask — And What They're Really Asking
"When was the last time you replaced a chair?"
They're asking: how old is your fleet overall, and how proactive are you about maintenance and replacement? A seller who has replaced two chairs in the last three years signals proactive fleet management.
"Do you have service records for your autoclave?"
They're asking: are there compliance liabilities here? An undocumented autoclave is a regulatory risk they have to absorb. Missing maintenance records are a specific, quantifiable concern.
"What X-ray system are you using?"
They're asking: will we need to invest in digital upgrades, and does your imaging match our platform standard? Analog systems in 2026 are an automatic flag for near-term capital investment.
"Is all the equipment owned free and clear?"
They're asking: are there equipment financing liens that complicate the transaction? Equipment loans show up in due diligence — having clean title to your assets is a deal facilitator.
How to Organize Your Documentation Package
The goal is a single PDF document that answers every equipment question before the buyer asks it. DentalAssetIQ's Comprehensive Valuation Report (CVR) is designed exactly for this purpose — it exports your complete inventory with FMV, OLV, replacement cost, and condition for every asset, formatted professionally.
Supplement the CVR with:
- Autoclave spore test log (last 12-24 months)
- Equipment photos (one per operatory, sterilization room, imaging suite)
- Any major service invoices from the last 3 years
That package takes a buyer's equipment due diligence from a two-week investigation to a 30-minute review. Deals move faster when buyers aren't waiting for information.
